7. Ordering and Payment Terms

7.1 Order Placement

By placing an order through our Site, you represent that you are authorized to use the payment method provided and that the order information you submit is accurate and complete. All orders are subject to acceptance by Green Lantern Pizza. We reserve the right to refuse or cancel any order for any reason, including but not limited to product unavailability, inaccuracies in product or pricing information, or suspected fraud.

An order confirmation sent to your provided email address does not constitute formal acceptance of your order. Acceptance occurs when your order is prepared and dispatched or made available for pickup.

7.2 Pricing and Taxes

All prices displayed on the Site are in U.S. Dollars (USD) and are exclusive of applicable sales taxes unless otherwise stated. Applicable state and local sales taxes will be calculated and displayed at checkout. Tax rates may vary based on your location in accordance with applicable state and local tax laws.

We accept major credit and debit cards and other payment methods as indicated on the Site at the time of checkout. By providing payment information, you authorize Green Lantern Pizza to charge the applicable fees to your chosen payment method.

7.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally considered final once preparation has commenced. If you wish to cancel an order, you must contact us immediately after placement. We will make every reasonable effort to accommodate cancellation requests prior to preparation. Refunds may be issued at our sole discretion in cases of incorrect orders, quality issues, or other circumstances within our control. 8. Delivery Terms

Delivery is available within our designated service area. Delivery times are estimates only and may be affected by factors including, but not limited to, weather conditions, traffic, high order volume, and other circumstances beyond our control. We shall not be liable for any delays in delivery.

It is your responsibility to provide an accurate and accessible delivery address. If delivery cannot be completed due to an incorrect address, inaccessible location, or failure to respond, we reserve the right to retain the full payment for the order.

Risk of loss and title for food items pass to you upon delivery or pickup, as applicable.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Green Lantern Pizza, its officers, directors, employees, agents, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

• Any delays, inaccuracies, or unavailability of food items, orders, or delivery services.

In no event shall Green Lantern Pizza's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the greater of: (a) the total amount paid by you to Green Lantern Pizza during the three (3) month period immediately preceding the event giving rise to such liability, or (b) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GREEN LANTERN PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE SITE;
• WARRANTIES THAT ANY DEFECTS IN THE SITE WILL BE CORRECTED.

14. Governing Law and Jurisdiction

These Terms of Service and any dispute, controversy, or claim arising out of or in connection with them, including any question regarding their existence, validity, breach, or termination, shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Green Lantern Pizza is registered and operates, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the federal or state courts of competent jurisdiction located in the applicable state where Green Lantern Pizza operates. You hereby irrevocably consent and submit to the personal jurisdiction of such courts for this purpose and waive any objection you may have to such jurisdiction or venue.

Nothing in this section shall limit our right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.

15. Dispute Resolution

15.1 Informal Resolution

We encourage you to contact us first before initiating any formal dispute resolution proceedings. We will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice.

15.2 Binding Arbitration

If the parties are unable to resolve the dispute informally within thirty (30) days, both parties agree that any unresolved dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding individual arbitration administered by a recognized arbitration association (such as the American Arbitration Association "AAA") in accordance with its Commercial Arbitration Rules, rather than in a court of law.

The arbitration shall be conducted in English, in the state where Green Lantern Pizza operates, unless otherwise mutually agreed by the parties. The arbitrator's decision shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency or injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute through arbitration, without waiving the right to arbitrate the underlying dispute.

These Terms shall remain in full force and effect for as long as you access or use the Site or Services. We reserve the right, in our sole discretion, to:

Green Lantern Pizza shall not be liable or responsible for any failure to perform or delay in performance of any of our obligations under these Terms that is caused by events outside our reasonable control ("Force Majeure Event"), including but not limited to acts of God, natural disasters, pandemics, epidemics, acts of government, wars, strikes, civil unrest, power outages, internet service disruptions, supply chain failures, or any other circumstances beyond our reasonable control.

In the event of a Force Majeure Event, we will make reasonable efforts to notify you of the circumstances and resume normal operations as soon as reasonably practicable.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. Green Lantern Pizza may assign or transfer these Terms and its rights and obligations hereunder without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
